Terms of sale and delivery of GOODFORM AG
1. Acceptance
By placing any order (in the online shop, by e-mail etc.) the buyer accepts all points of these terms of sale and delivery. Opposing conditions in which the buyer refers to their own (general) terms are not accepted.
2. Prices, dimensions and illustrations etc.
All dimensions, weights, prices, details and illustrations/photographs in our catalogues (online shop / website), brochures, price lists and offers are non-binding. Changes of model are reserved. The description, technical details and prices of the products may be changed at any time. Typographical or graphical errors, mistakes in the product descriptions, prices and technical details remain reserved. Products marked with a price of CHF 0 are products with a price on request. Vouchers must always be paid in advance; the 2% prepayment discount cannot be deducted on vouchers.
The products and prices in the online shop constitute an offer. This offer is, however, always subject to the contract-terminating condition of an impossibility of delivery or an incorrect price statement. In the event of an incorrect price statement in an offer that has been drawn up, or an incorrect price in the online shop, any contract concluded is automatically dissolved. Furthermore, any contract is automatically dissolved in the case of incorrect and/or improperly redeemed vouchers and discounts.
The online shop uses Google's automatic translation programme, Google Translator. This means that translations into languages other than German are produced automatically by computer and may for that reason be incorrect. Translation errors, imprecise and incomplete translations etc. remain expressly reserved.
3. Value added tax
VAT is included in the Swiss prices (in CHF). The VAT amount is shown on the invoice.
4. Shipping
Our shipping conditions apply as set out under the menu item Shipping information on our website (www.goodform.ch). These are also part of the general terms and conditions.
4.1 Deliveries abroad (deliveries outside Switzerland and Liechtenstein)
GOODFORM delivers only within Switzerland and Liechtenstein; for deliveries to Germany please visit our German web shop www.goodform.de
5. Delivery times
Delivery time statements are made by GOODFORM as precisely as possible, but are always non-binding. If GOODFORM cannot meet a delivery date, or if for example an item has to be exchanged because of defects, the buyer is not entitled to revoke the order or to assert any claims for damages.
6. Payment terms
6.1 Order on account for private individuals.
When purchasing on account, the external payment service provider MF Group (Powerpay) takes over the invoice claim that has arisen and handles the corresponding payment arrangements. Within this cooperation, customer data is passed on to the financial service provider. When purchasing on account, the customer accepts, in addition to GOODFORM's terms and conditions, the terms and conditions of MF Group, www.mfgroup.ch/agb; a valid e-mail address is required.
If the customer does not pay the order invoice within the specified period, or decides on a partial payment, the customer receives a monthly invoice by post listing all outstanding amounts. In the case of partial payment, interest and administrative fees are charged on the outstanding amount.
Purchase on account is not possible where the invoice and delivery addresses differ.
You always have the option of paying for the order by prepayment to our bank account or by credit card.
6.2 For an order with prepayment to our bank account, you will receive an order confirmation from us by e-mail. Our bank details are given in that confirmation. The prepayment discount applies only to prepayment to our bank account, not to other payment methods such as credit card etc.
6.3 Discounts, vouchers and other deductions cannot be combined with one another. Furthermore, no discounts are granted on shipping and assembly costs, where these arise or have been requested by the customer. Voucher codes, discounts etc. shown for example in brochures, leaflets etc. are valid and redeemable only once per customer.
6.4 GOODFORM may introduce discounts temporarily, such as the euro discount. These discounts may be changed or removed by GOODFORM at any time. If the euro discount is deducted on a product that GOODFORM does not purchase in euros, the euro discount may be charged back to the customer afterwards. In such a case the customer would have the option of cancelling the order. The euro discount may be amended after the event on orders already placed if there are larger EUR/CHF exchange rate fluctuations (more than 5% within one week).
7. Retention of title
The goods remain the property of GOODFORM AG until payment has been made in full.
8. Complaints
Any complaints about the condition or quantity of the goods delivered, incorrect deliveries or the price invoiced must be notified to GOODFORM immediately after receipt of the goods (at the latest 3 days after receipt, otherwise the goods are deemed to be faultless and accepted), by e-mail to: [email protected]. If the packaging should be damaged, this must be reported to the courier/driver immediately on acceptance of the goods. With deliveries by haulier you will as a rule be asked to sign the acceptance record. Please check the goods carefully before signing. Rescission and price reduction are excluded. Defective items can only be taken back in their original packaging.
The buyer must notify transport damage in writing to the transport company that delivered the goods without delay (for example on the haulier's acceptance record) and inform GOODFORM of it.
9. Warranty
We provide a warranty on material and construction for a period of 2 years from delivery of the goods. Any further warranty is expressly excluded.
The warranty is excluded for damage attributable to normal wear and tear or to improper use, as well as to any other fault of the buyer. The warranty is further excluded if the customer or third parties have carried out repairs or modifications to the goods.
If the buyer asserts justified defects in writing within the meaning of these provisions, GOODFORM has the choice of repairing the defects or replacing the defective goods or parts thereof with new ones. The duration of the warranty is neither renewed nor extended by any repair or replacement delivery.
Further claims by the buyer, including lost profit, consequential loss caused by a defect or other financial loss, are expressly excluded within the limits permitted by law. Warranty returns generally go to the manufacturer. The return costs are borne by the customer.
Illustrations and descriptions of the goods on our (and/or our suppliers') online platform, in brochures, price lists and catalogues are not binding for the execution of the goods delivered; GOODFORM and its suppliers reserve the right to make construction changes and structural deviations as well as other deviations at any time.
10. Returns
Returns are only possible in the event of material or manufacturing defects. In such a case, please contact us within 3 days; without the original packaging we cannot process a complaint.
As a rule, an order in progress cannot be cancelled. In exceptional cases, GOODFORM may agree to a cancellation.
For returns as well as for cancellations approved as an exception, 15% of the order total will be charged, but at least a handling fee of CHF 50 for goods worth less than CHF 1,000 or CHF 90 for goods worth CHF 1,000 or more.
11. Amendments
GOODFORM is entitled at any time to amend its general terms of sale and delivery by notifying the buyer or by publication on the GOODFORM website.
12. Copyright
Any use of illustrations and texts from our catalogues and brochures is prohibited without our written permission.
13. Place of jurisdiction
The place of jurisdiction is Zug. Swiss law applies.
Should individual provisions of these terms and conditions be invalid or ineffective, this shall not affect the validity of the remaining provisions or of these terms and conditions as a whole.
